NETWORK ASSOCIATE WITH CAPRIFLAVORS AGREEMENT

 

OVERVIEW

 

This is a binding agreement between Capriflavors, Inc. hereby known as Capriflavors, 1012 Morrisville Parkway, Morrisville, North Carolina, 27560 and ________________________________ __________________________________________, hereby known as Network Associate. 

 

This agreement allows, Network Associate __________________________________

__________________________________, http://www.yoursite.com, to list and sell products offered on the Capriflavors website (http://www.capriflavors.com) with the following conditions and agreements.

 

INDEMINITY

 

Capriflavors agrees to:

 

  1. Allow Network Associate  ________________________________________

_______________________ to sell any or all of the products listed on the Capriflavors website at http://www.capriflavors.com with the following conditions.

 

    1. All products must be sold at the price currently stated on the Capriflavors website. The Network Associate is responsible for maintaining the correct price on the Network Associate website at all times.

 

    1. Capriflavors, Inc.  grants use of any pictures and descriptions contained in the Capriflavors website at http://www.capriflavors.com for the sole purpose of listing and selling items on the Network Associate website.

 

  1. Ship any order sold by Network Associate ____________________________ ________________________________ to that Network Associates customer provided:

 

    1. Full payment to Capriflavors by the Network Associate, including all shipping, handling and taxes as set forth in Shipping Calculations of this document, minus the appropriate commission, is paid to Capriflavors prior to the order being shipped.

 

    1. Capriflavors also agrees to notify the Network Associate of any tracking information provided by UPS so they can relay that information to their customer.
    2. Capriflavors will “assist” in the tracking process in the event a package is lost.  However, the communication with the customer is the sole responsibility of the Network Associate.  Capriflavors WILL NOT act as a customer service representative between the Network Associate and their customer.

 

    1. Capriflavors will ship all items paid for by the Network Associate the same business day if the order is confirmed and paid for prior to Noon, EST.  All orders received after 12:01 pm, EST will be shipped the next day.

 

  1. Refund any monies paid for items that are “Out of Stock” that appeared as “In Stock” on the Capriflavors product catalog at the time of purchase.  EXCEPTION:  A refund will be given to the Network Associate for those items that are “Out of Stock,” minus a two percent (2%) fee if that item was listed as “Out of Stock” on the Capriflavors product catalog at time of purchase.

 

  1. Capriflavors may terminate this agreement without notice at any time, for any reason.

 

Network Associate, __________________________________________, agrees to:

 

  1. Selling price of all items WILL be the same as listed on the Capriflavors website at http://www.capriflavors.com

 

  1. Agree to the shipping and handling as calculated in the Shipping Calculations section of this document. The calculation of these charges is the sole responsibility of the Network Associate.  Capriflavors WILL NOT reimburse the Network Associate for wrong calculations of these fees.

 

  1. Provide payment to Capriflavors for the full order amount, minus any commission as set forth in the Payment and Reimbursement section of this document, prior to any items being shipped. “Full Payment” is defined in the section Payment and Reimbursement of this document.

 

  1. Sell our products on the Network Associate website using all programs owned by the Network Associate.  Capriflavors is NOT held responsible for the Network Associates website and is also NOT held responsible for errors associated with the Network Associates programs, or the policies and procedures of the Network Associate.

 

  1. Have sole responsibility for communication with customers who purchase from their website.  Capriflavors will not intervene in any way with the Network Associate or their customer.

 

  1. Sign a separate agreement for each website the Network Associate wishes to sell products.  This agreement is for a “specific” website.  Capriflavors places no limit on the number of websites a Network Associate wishes to use, however each website must adhere to the procedures set forth in this document.

 

PRODUCT CATALOG

 

Capriflavors will maintain a product catalog of all items available on the website to include item names and prices, as well as each item weight used in the calculation of shipping charges.  This catalog is dynamically presented from products maintained in our database and will only show those items that are currently available and in stock.

 

Network Associate is responsible for maintaining items on their websites.  See the section Indemnity for fees that can be accessed if the Network Associate does not maintain the integrity of the products on their website.

 

SHIPPING CALCULATIONS

 

Capriflavors uses the standard shipping tables provided by UPS, along with other calculations to determine shipping charge for each order.  You should use this process to determine the cost of shipping for your customers.  Capriflavors will bill you the cost of the order and applicable shipping based on the below criteris. We currently offer three types of shipping; Ground, 2nd Day, and Overnight.  Each order is calculated for shipping cost based on the following criteria:  NOTE:  When accepting orders Capriflavors uses the following calculations to determine shipping charges. 

 

  1. Actual weight of the products contained in the order
  2. One pound is added to this weight for packaging materials
  3. A standard $2.45 is added to each order to defray the cost of handling (packaging cost and overhead) EXCEPT FOR cold items (meats and cheeses) that are packaged in special containers to keep the products fresh.  A standard handling fee of $9.95 is added to each order.
  4. Split orders are also calculated.  Example: Cases of Tomatoes are split from other products because there is a requirement to send two packages, thereby charging for each package.  Also perishable items are also separated because of the special packaging.  This multiple package calculation allows us to charge the standard UPS charge for each package.
  5. Shipping ZIP Code and shipping zone to determine cost from our warehouse located in Morrisville, North Carolina (27560)

 

PAYMENT and REIMBURSEMENT

 

Capriflavors agrees to pay and or reimburse the Network Associate a total of five percent (5%) for each order, minus shipping, handling, and taxes associated with each order.  This is defined as “Full Payment.” For example if we receive an order for $92.00 ($81.50 price of products, and $10.50 in other charges (shipping, taxes, etc.) the Network Associate agrees to pay $77.43 for the product (95% of the total product price, plus the $10.50 shipping charge for a grand total of $87.93.  In this example the Network Associate will earn a profit of $4.07.

 

All payment to Capriflavors must be accomplished through PayPal.

 

Capriflavors also agrees to the following incentive reimbursement to the Network Associate:

  1. A monthly bonus will be awarded for calendar monthly sales between $500.00 and $4,999.99, known as the 1st bonus tier, of an additional 2% for all items for that month.  Each month sales are calculated from 00.01 am, EST, the first day of each month, through 12 midnight the last day of each month, and include a total of all product cost paid by the Network Associate.  Monies will be paid by Capriflavors before the 15th day of the following month.  For example if the Network Associate sells $2,567.56 (minus shipping, handing, and other fees) during a calendar month, that Network Associate would have earned $128.78 (5% of the product price sold for that month,) plus a bonus of $51.35 (2% for reaching the first bonus tier.)  Total monthly compensation in this example would be  $180.13.

 

2.  An additional bonus, known as the 2nd bonus tier, will be awarded for any monthly sales over $4,999 in an additional 3% of the total product sales for that month.  All conditions in section 1 of the Payment and Reimbursement section apply.

 

OTHER INFORMATION

 

The Network Associate agrees to all terms stated in this document.  This is an “at will” agreement and the Network Associate or Capriflavors, Inc. has the right to terminate this agreement at will.
